This unilateral confidentiality agreement template is designed to be used where there are two parties, and one party wishes to disclose confidential information to the other party.

The confidentiality agreement states (amongst other things) that the recipient of the information will: safeguard the confidentiality of the information and protect it from unauthorised disclosures; not supply the confidential information to any third party without the consent of the disclosor; use the confidential information in good faith and only for the permitted purposes; and inform the disclosor if the information is subject to an unauthorised disclosure.
