We created this standard consultancy agreement template for use in relation to the provision of business, management, IT and other consultancy services, where both the consultant and the client will both sign the agreement.

The consultancy agreement includes provisions relating to deliverables (that is, the works and materials that are the products of the services provided by the consultant). One often contentious issue is the treatment of the intellectual property rights in such deliverables. You will need to decide if the intellectual property rights will be assigned or licensed to the client.

This agreement may be adapted to favour the interests of either party, or to balance the parties' interests. It is designed to be short and relatively easy-to-use, rather than bullet-proof.
