This premium manufacturing contract template is an extended version of the standard document. It may be suitable for use where the customer is appointing the manufacturer to manufacture products to a design supplied by the customer, and supply those manufactured products to the customer. It does not cover the situation where the manufacturer will have a right to sell the products to third parties. In addition to the provisions in the standard manufacturing agreement, this version includes: (i) forecasting provisions, with options for forecasts to be binding or non-binding; (ii) provisions to account for the supply of components and/or equipment to the manufacturer, to assist with the manufacturing process or to be incorporated into the products; (iii) provisions covering improvements to the products or manufacturing process created by the manufacturer; (iv) a publicity clause; (v) design services provided by the manufacturer; (vi) cross-indemnities; (vii) training to be undertaken by the manufacturer's personnel; and (viii) non-compete obligations on the manufacturer. All of these additional provisions are optional.
