Manufacturing Agreements: SelectionThese template manufacturing agreements are designed to be used where one business (the customer) will appoint another business (the manufacturer) to manufacture goods or products. The goods or products would be manufactured to a design specified by the customer, and would be supplied by the manufacturer to the customer.
Both the "standard" and "premium" versions of the manufacturing agreement include (inter alia) provisions covering the making of orders, minimum quantities, IPR in the product design, pricing and payment, limits of liability, confidentiality obligations, agreement term, and termination and effects of termination. Both documents also include (as a schedule) terms and conditions relating to the the supply of the products, covering such matters as delivery/collection obligations, retention of title, product warranties and defective products.
The "premium" version contains all of the provisions of the standard version. In addition, it covers the following matters: - the supply, by the customer, of equipment to be used in the manufacturing process
- the supply, by the customer, of components or ingredients to be used in the manufacturing process
- the forecasting of future order quantities
- training for the personnel of the manufacturer
- change control procedures
