This trade mark assignment template should be used to assign (i.e. transfer) ownership of a registered and/or unregistered trade marks.

The assignment may - but need not - be made with "full title guarantee". In the context of an assignment of trade marks, "full title guarantee" means that the assignor gives undertakings that it has the right to assign the trade marks, that it will do all it reasonably can to grant the title it purports to give in the trade marks (at its own cost), and that the trade marks are free from all known encumbrances, charges and adverse rights.

The assignor may give various warranties to the assignee under the assignment - for instance, that all trade mark registration and renewal fees have been paid up to the date of the assignment - and may also indemnify the assignee in respect of losses arising out of a breach of warranty.
