The trade mark licence template can be adapted to balance the parties' interests, or to favour the interests of the licensor or licensee.
A licence of a UK registered trade mark is not, under Section 28 of the UK's Trade Marks Act 1994, effective unless it is in writing signed by or on behalf of the grantor.
A grant of a licence of a UK registered trade mark is a registrable transaction under Section 25 of the 1994 Act. A licence of a UK registered trade mark should be registered with the UK Intellectual Property Office using Form TM51. The termination of such a licence should be registered using form TM52.
